PATRIOT TERMS OF USE

THIS AGREEMENT SETS FORTH THE TERMS AND CONDITIONS FOR YOUR USE OF THE WEBSITE AT HTTP://WWW.PATRIOTWOODCRAFTERS.COM (THE “SITE”) AND THE SERVICES OFFERED BY PATRIOT WOODCRAFTERS, LTD. (“PATRIOT” AND COLLECTIVELY WITH THE SITE, THE “SERVICE”). BY USING THE SITE OR SERVICE YOU AGREE TO BE BOUND BY THIS AGREEMENT. THIS AGREEMENT APPLIES TO ALL USERS OF THE SITE AND SERVICE.

Acceptance of Terms

The following terms and conditions govern your use of this Site.  The “Data’” included in this site includes but not limited to the Products, descriptions, specifications, discussions, news, blogs, press releases, etc.  By registering for and/or using the Service in any manner, including but not limited to visiting the Site, browsing the Site, or accessing the Data and materials on this Site, you agree to all of the terms and conditions contained herein (the “Terms of Use”), which terms also incorporates PATRIOT’s Privacy Policy, www.patriotwoodcrafters.com/privacypolicy, and all other operating rules, policies and procedures that may be published from time to time on the Site by PATRIOT, each of which is incorporated by reference and each of which may be updated by PATRIOT from time to time with notice to you (collectively, the “Policies”). In addition, some services offered through the Site may be subject to additional terms and conditions of PATRIOT from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference.

Purpose of Patriot

PATRIOT provides handcrafted wooden creations (the “Product”) which are truly functional artwork, serving beautifully as you prepare and present food or as a statement piece on your countertop. They’re gorgeous because we use beautiful North American woods to build the projects – Sugar Maple, Black Walnut, Cherry, American Sycamore – and exotic woods like Purple Heart used to add color. They’re great for cooks because these woods won’t impart a flavor to your food – and the cutting boards and butcher block tables are sheer joy to cut upon.

Suitable for both commercial and residential use, Patriot Woodcrafters cutting boards are extremely durable. They’ll last for many years if cared for properly.

Electronic Communication

When you visit this Site, send emails to Patriot, register to purchase Products, or contact us in any way through the Site, you are communicating with us electronically and consenting to receive communications electronically.  This consent also includes receiving Notices posted to this Site electronically. To unsubscribe at any time, click “Unsubscribe” at the bottom of any Patriot electronic communications and follow the instructions or contact PATRIOT through the “Contact Us” form or by email at support@Patriotwoodcrafters.com .

Access

Subject to these Policies, PATRIOT may offer to provide the Service, as described more fully on the Site, and which are selected by you, solely for your own use, and not for the use or benefit of any third party. Services shall include, but not be limited to, any services PATRIOT performs for you authorized by PATRIOT, as well as the offering of any materials displayed or performed on or through the Site or the Services (including Content (as defined below)).

Service Eligibility

You represent and warrant that you are of legal age to form a binding contract, and that all information you submit is accurate and truthful. You represent and warrant that you have full power and authority to enter into this Agreement and in doing so will not violate any other agreement to which you are a party. PATRIOT may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.

Registration

Although any visitor or User to the Site may browse or purchase through the Products without registering with PATRIOT, Users may register with the Service by providing the personal information as required by the form.  To read further about the information required and how PATRIOT uses personal information, please review the Privacy Policy at [insert privacy policy address].

Modification of Terms of Service

PATRIOT reserves the right, at its sole discretion, to modify or replace any of the Terms of Use at any time by posting a notice on the Site or by sending you an email. PATRIOT reserves the right, at its sole discretion to modify, replace, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time with or without notice to you. PATRIOT may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

Rules and Conduct

As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Policies or law. The Service (including, without limitation, any Content (as defined below)) is provided for the private use of the users who have registered and/or visitors to the Site. You are responsible for all of your activity in connection with the Service. You shall not, as determined in PATRIOT’s sole discretion: (i) interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service; (ii) bypass any measures PATRIOT may use to prevent or restrict access to the Service; (iii) share or otherwise allow another’s access to your Account, or share the materials downloaded from the Site; or (iv) use manual or automated software, devices, or other processes to “crawl,” “spider” or in any other way “scrub” any page of the Site.

You shall not in any way: (i) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service; (ii) modify, translate, or otherwise create derivative works of any part of the Site; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder. You shall abide by all applicable local, state, national and international laws and regulations.

PATRIOT does not guarantee that any Content will be made available on the Site or through the Service. PATRIOT has no obligation to monitor the Site, Service or Content.

PATRIOT, in its discretion, reserves the right to remove, edit or modify any Content from the Site or Service at any time, without notice to you and for any reason, or for no reason at all.

Third Party Sites and Services

The Site may link to other websites, services or resources on the Internet, and other websites, including sites owned or operated by vendors featured on PATRIOT, services or resources may contain links to the Site. When you access third party websites, you do so at your own risk. These other websites are not under PATRIOT’s control in any way, and you acknowledge that PATRIOT is not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such websites or resources. The inclusion of any such link does not imply endorsement by PATRIOT or any association with its operators. You further acknowledge and agree that PATRIOT shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such Content, goods or services available on or through any such website or resource.

As well, any website linked to PATRIOT may or may not be affiliated with PATRIOT.  It is up to you to make an independent decision regarding your interaction or communication with such website.  As such, you hold PATRIOT free from liability and responsibility when communicating or interacting with such websites.

Content and License

You agree that the Site contains Content specifically provided by PATRIOT and that such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Site. Specifically, PATRIOT and its logo is a trademark of PATRIOT as well as the text, graphics, website design, software, functionality, etc. is subject to copyright protection by PATRIOT.

PATRIOT grants each user of the Site a limited, non-exclusive, non-sublicensable and non-transferable license to use the Content, solely for personal, non-commercial use. You are granted a limited license to (a) view the Data on your screen, (b) print the Data, (c) transfer Data to a personal handheld device including a personal digital assistant, mobile phone, smartphone or any other mobile device used for personal view, (d) save the Data or (e) transfer a copy to a third party provided that there is an option to ‘share’ the information as provided by the Site or the individual user that created that content and provided you do not remove the copyright notices or proprietary legend that appear and do not modify the Data in any way.  You shall not derive or attempt to derive the source code or structure of all or any part of the materials, Data or Site by reverse engineering, disassembly, decompilation or any other means. Use, reproduction, modification, distribution or storage of any Content for other than personal, non-commercial use is expressly prohibited without prior written permission from PATRIOT. You shall not copy, sell, license, rent, or otherwise use or exploit any Content for commercial use or in any way that violates any third party right, or otherwise made available, the Product on the Site or through the Service.  Nothing contained herein shall be construed as granting you a license under any copyright, trademark, patent or any other intellectual property right of PATRIOT, except for the right of use expressly set forth in these Terms of Use.

Products Descriptions

Being a natural Product, although we strive to be as accurate as possible, PATRIOT does not warrant that Products specifictions and descriptions, content of this site and that of electronic communications is accurate, complete, reliable, current, or error-free. If an Products offered is grossly misdescribed, your sole remedy is to return it in same condition in accordance with the Return Policy contained in these Terms of Use.

Wood, as a natural Product, can look different in texture and color from Product to Product.

Pricing

Except where noted otherwise, the List Price displayed for Products on our website represents the full retail price.

User’s credit card account will be charged at the time the order is placed. Despite our best efforts, it is possible that an item on the Site is mispriced. If an item’s correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.

Taxes will be included where applicable according to the state tax law.

Payment Methods

PATRIOT accepts major credit cards, as payments for the Products.  PATRIOT reserves the right to accept or refuse any other payment methods.

Return Policy

If you are not completely satisfied with your purchase, please contact us for a Return Merchandise Authorization via Patriotwoodcrafters.com for up to 30 days from the date of purchase.  Only upon receipt of Return Merchandise Authorization may Customer ship back the product for the refund.  Customer must take care to ship the item back as originally packed with insurance to cover the value of the Product.

All returns must be in resalable condition and in original packaging.

• Applicable refunds apply to merchandise only (not shipping or gift wrap).
• Items purchased online may not be returned or exchanged at a local retailer.

After the item has been received and inspected by PATRIOT, the refund or exchange is typically processed within 10 days.

Refunds for items purchased at Patriotwoodcrafters.com will be issued in the original form of payment for the amount paid for the item.  No shipping charges will be refunded unless per the terms of this Policy.

If the original form of payment is unavailable for credit, a check for the refund amount will be issued to the purchaser.

We only refund shipping charges if we’ve sent the wrong item or if the item sent is defective.

Shipping Policy

 All items in stock are usually shipped within 2 business days (Mon through Friday as business days barring any US national or religious holidays) though there may be delays due to unforeseen events such as weather, etc.

If an item is not in stock, you will be informed of the time it will take to complete the order.

Products are usually shipped via UPS Ground (to be delivered only Monday through Friday per UPS shipping policy) but you have an option to choose expedited shipping or Saturday delivery for the amount stated at Checkout.

Shipping methods and price are noted in the Shipping Info tab of the Product purchase page, and will further be notated at checkout.  Upon shipment, Patriot will provide tracking numbers so you can track your shipment. Due to third party content of tracking information, Patriot cannot guarantee the accuracy of that information.

Custom Orders:  While standard shipping rates may apply to the Products sold online, shipping rates and times will vary due to the varying nature of custom orders.

Intellectual Property Rights

 PATRIOT respects copyright laws and the intellectual property rights of others.

Site Content, Software and Trademarks: You acknowledge and agree that the Site and Service may contain content (“Site Content”) that is protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by PATRIOT, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Site Content, in whole or in part. In connection with your use of the Service you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. Any use of the Service or the Site Content other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Site and Service or distributed in connection therewith is the property of PATRIOT, our affiliates and our partners (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by PATRIOT.

The PATRIOT name and logos are trademarks and service marks of PATRIOT (collectively the “PATRIOT Trademarks”). Other PATRIOT, Product, and service names and logos used and displayed via the Service may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to PATRIOT. Nothing in this Terms of Use or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of PATRIOT Trademarks displayed on the Service, without our prior written permission in each instance. All goodwill generated from the use of PATRIOT Trademarks will inure to our exclusive benefit.

Third Party Material: Under no circumstances will PATRIOT be liable in any way for any content uploaded by third parties or at the direction of Users, including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content uploaded or emailed via the Service. You agree that you must evaluate, and bear all risks associated with, the use of any Site Content or any other related content, including any reliance on the accuracy, completeness, or usefulness of such content.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site (“Submissions”), provided by you to PATRIOT are non-confidential and PATRIOT will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You acknowledge and agree that PATRIOT may preserve Submissions and may also disclose Submissions if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Use; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of PATRIOT, its users and the public. You understand that the technical processing and transmission of the Site, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You acknowledge and agree that any and all Submissions, as well as any other submissions and contents posted to social media sites such as Facebook, Twitter or Pinterest or other third party sites are beyond the control of PATRIOT and are subject to the Terms of Use and removal policies of that site.

 Copyright Complaints: PATRIOT respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify PATRIOT of your infringement claim in accordance with the procedure set forth below.

PATRIOT will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws with respect to any alleged or actual infringement. A notification of claimed copyright infringement should be emailed to PATRIOT’s Copyright Agent at: support@Patriotwoodcrafters.com .

Disclaimer of Warranties and Limitations of Liability

PATRIOT PROVIDES THE SITE AND DATA ON AN “AS IS” AND “AS AVAILABLE” BASIS.  PATRIOT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES THAT THE SITE AND DATA ARE FREE FROM VIRUSES AND ABLE TO OPERATE ON AN UNINTERRUPTED BASIS, THAT THEY WILL MEET YOUR SPECIFIC NEEDS, OR THAT ERRORS WILL BE CORRECTED, AND THE IMPLIED WARRANTIES THAT THE SITE AND DATA ARE OF SATISFACTORY QUALITY, ACCURATE, OR NON-INFRINGING, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION.  NO ADVICE OR INFORMATION GIVEN BY PATRIOT CREATE A WARRANTY OR EXPAND THE SCOPE OF ANY WARRANTY THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.  YOUR USE OF THIS SITE AND DATA IS SOLELY AT YOUR OWN RISK.

THE MATERIALS AND DATA MAY INCLUDE INACCURACIES WHETHER TECHNICAL OR TYPOGRAPHICAL ERRORS. PATRIOT HAS THE RIGHT AT ANY TIME TO CHANGE, MODIFY, ADD TO OR DISCONTINUE ANY ASPECT OR FEATURE OF THE SITE, MATERIALS OR PRODUCTS. PATRIOT HAS NO OBLIGATION TO PROVIDE YOU WITH NOTICE OF ANY SUCH CHANGES.

IN ADDITION, PATRIOT SHOULD BE FREE FROM RESPONSIBILITY OR LIABILITY, DIRECTLY OR INDIRECTLY, FOR ANY LOSS OR DAMAGE CAUSED OR ALLEGED TO HAVE BEEN CAUSED TO YOU IN CONNECTION WITH THE USE OR RELIANCE ON ANY CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY EXTERNAL SITES LINKED FROM THIS SITE.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.  THE PATRIOT LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

PATRIOT DOES NOT HAVE ANY OBLIGATION TO VERIFY THE IDENTITY OF THE PERSONS POSTING PRODUCTS TO ITS SITE OR REGISTERED ON THIS SITE, NOR DOES IT HAVE ANY OBLIGATION TO MONITOR THE USE OF ITS SITE BY OTHER USERS OF THE COMMUNITY; THEREFORE, PATRIOT DECLINES ALL LIABILITY FOR IDENTITY THEFT OR ANY OTHER MISUSE OF YOUR IDENTITY OR INFORMATION.  FURTHERMORE, PATRIOT DOES NOT HAVE AN OBLIGATION TO VERIFY THE COPYRIGHT HOLDER OF THE PRODUCTS AVAILABLE TO PURCHASE ON ITS SITE.  PATRIOT DOES NOT TAKE ANY RESPONSIBILITY FOR ALLEGED OR ACTUAL COPYRIGHT INFRINGEMENT IN THE PRODUCTS.

Indemnity

You agree to indemnify and hold PATRIOT and its licensors (including their respective licensors, suppliers, assignees, subsidiaries, affiliated companies, and the respective officers, directors, employees, shareholders, agents and representatives of each of them) free and harmless from and against any liability, loss, injury (including injuries resulting in death), demand, action, cost, expense, or claim of any kind or character, including but not limited to attorney’s fees, arising out of or in connection with any use or possession by you of any Products, Data, and/or Content purchased or in any way offered to you by this Service.

Termination

You may terminate this Agreement, for any or no cause, at any time, with notice to PATRIOT which shall be effective upon PATRIOT processing such notice. PATRIOT may terminate the Agreement for any or no cause, at any time, with or without notice, which shall be effective immediately or as may be specified in the notice.

In furtherance and without limiting the foregoing, PATRIOT has adopted a policy of terminating, in appropriate circumstances and at PATRIOT’s sole discretion, Users/Buyers who are deemed to be repeat infringers of this Agreement. PATRIOT may also at its sole discretion limit access to the Service and/or terminate the memberships of any Users/Buyers.

If you wish to terminate your subscription to the mailing list and any/all updates, you may do so by following the instructions on the Site.

Dispute Resolution

A printed version of the Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The Terms of Use shall be enforced, governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law rules, and the United States of America.  For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the courts located in New York.

Integration and Severability

The Policies are the entire agreement between you and PATRIOT with respect to the use of the Service, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and PATRIOT with respect to the Service. If any provision of the Policies is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Policies will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

Assignments and Transfers

The Policies are personal to you, and are not assignable, transferable or sublicensable by you except with PATRIOT’s prior written consent. PATRIOT may assign, transfer or delegate any of its rights and obligations hereunder without consent.

Non-creation of Legal Relationship

No agency, partnership, joint venture, employment, or independent contractor relationship is created as a result of the Policies and neither party has any authority of any kind to bind the other in any respect.

Notifications

All notices under the Policies will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or email; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.

Miscellaneous

PATRIOT shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond PATRIOT’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference).
